Cirrus Logic Buys INVENTVM, an Italian Power-Management Chip Designer: What the Filing Says
Cirrus Logic INVENTVM acquisition: the Austin chipmaker says it has bought the Pavia, Italy designer on 6 October 2026. Terms were not disclosed.
AUSTIN, Texas, 6 October 2026. Cirrus Logic (NASDAQ: CRUS) said it has acquired INVENTVM, a fabless semiconductor company based in Pavia, Italy, according to a press release filed with the SEC. The company did not disclose the price and says the deal will not have a material impact on its revenue.
The announcement is short on numbers. This post sets out what the filing says, what it leaves out, and how it compares with an earlier Cirrus Logic power-IC purchase.
What did Cirrus Logic announce on 6 October 2026?
Cirrus Logic announced that it has acquired INVENTVM, which it describes as a fabless semiconductor company in Pavia, Italy. The headline of the release is "Cirrus Logic Announces Acquisition of INVENTVM Semiconductor." Business Wire distributed the same text with a 6 October 2026 timestamp.
The release is filed as an exhibit on EDGAR, the SEC's public filing database. Everything below labelled "the company says" comes from that exhibit. Nothing in it is independently reported by an outside outlet. Later coverage, such as Pulse 2.0 on 7 October, repeats the release.
What does INVENTVM do?
The release says INVENTVM specializes in mixed-signal power management and audio integrated circuits. Mixed-signal chips combine analog and digital circuits on one die. Power-management chips regulate how a device draws and distributes battery energy.
INVENTVM is fabless, meaning it designs chips and uses outside foundries to produce them. The release says the company brings engineering expertise, intellectual property and an established presence in a region where Cirrus Logic intends to expand further.
According to Semicone, a Hong Kong IC distributor, the company's full name is INVENTVM Semiconductor S.r.l. and it was founded in 2021 through a management buyout of an existing R&D design center. That detail does not appear in Cirrus Logic's release, and Semicone does not cite a source for it.
How much did Cirrus Logic pay for INVENTVM?
The price was not disclosed. The release states that "the financial terms of the transaction were not disclosed." It gives no purchase price, form of consideration, earnout or financing source.
The only financial statement is that the transaction will not have a material impact on Cirrus Logic's revenue. That is the company's own assessment. The release does not define "material," and it gives no profit or cost guidance.
Is the INVENTVM deal completed?
The company's wording indicates a completed deal. It says Cirrus Logic "has acquired" INVENTVM, and Semicone headlines its write-up as a completed acquisition. The release gives no separate closing date and lists no pending conditions or regulatory approvals.
The table below summarizes what the release does and does not say.
| Item | In the release? | What it says |
|---|---|---|
| Announcement date | Yes | 6 October 2026 |
| Acquirer | Yes | Cirrus Logic, Inc. (NASDAQ: CRUS), Austin, Texas |
| Target location | Yes | Pavia, Italy |
| Target focus | Yes | Mixed-signal power management and audio ICs |
| Purchase price | No | "Not disclosed" |
| Closing date | No | Described as already acquired |
| Revenue impact | Yes | Not material, per the company |
| Headcount | No | Not given |
| Advisers, financing, approvals | No | Not given |
Who said what about the deal?
Two executives are quoted. John Forsyth, Cirrus Logic president and chief executive officer, said: "Having worked together closely for several years, we know the strength of this team," according to the Business Wire text. He also says the company's pipeline of opportunities is the strongest it has had, and that the deal adds IP, engineering capacity and talent depth.
Michele Chiabrera, chief executive officer of INVENTVM, points to "the strong relationship our teams have built over many years of collaboration." He says joining Cirrus Logic creates opportunities to advance the technology and support customers within a larger global organization.
Both statements are company-issued. They describe a working relationship that predates the purchase, which is the most concrete context the release offers. The release does not say whether INVENTVM was already a supplier, a design partner or a customer.
Why does Cirrus Logic want an Italian power-management team?
The company's stated reason is growth. The release says the acquisition enables Cirrus Logic to accelerate development of products and supports its long-term growth strategy to expand into additional applications and markets.
Some context from Cirrus Logic's annual report for the fiscal year ended 28 March 2026 helps size this up:
| Metric (fiscal year ended 28 March 2026) | Figure | Source |
|---|---|---|
| Net sales | About $2.00 billion, up from about $1.90 billion in fiscal 2025 (rounded) | 10-K |
| Share of net sales from Apple Inc. | Approximately 91 percent (89 percent in fiscal 2025, 87 percent in fiscal 2024) | 10-K |
| Employees | 1,668 | 10-K |
| Offices listed | United States, United Kingdom, Taiwan, China, South Korea, Japan, Singapore | 10-K |
The 10-K lists no Italian office, so INVENTVM would be Cirrus Logic's first in the country, based on that list. The release says INVENTVM gives Cirrus Logic "an established presence in a region" where it intends to expand further, but does not name a plan or headcount.
The Apple figure is the number that gives the "new applications and markets" language its weight. The 10-K says one end customer accounted for about 91 percent of net sales, buying through multiple contract manufacturers. Any acquisition that adds engineering capacity and power-management IP is, on its face, a way to build products for other buyers, though Cirrus Logic does not say that in the release.
How does this compare with Cirrus Logic's Lion Semiconductor purchase?
The Lion Semiconductor deal in 2021 is an earlier Cirrus Logic power-IC acquisition, and the company disclosed far more about it. In July 2021 the company announced an agreement to buy California-based Lion for $335 million in cash. Lion made switched-capacitor fast-charging power ICs.
Its quarterly report for the period ended 25 September 2021 says the acquisition was completed on 20 July 2021. It reports total consideration transferred of approximately $280.5 million, including $4.9 million in cash acquired, and a further $32.2 million subject to indemnity and adjustment provisions.
| Lion Semiconductor (2021) | INVENTVM (2026) | |
|---|---|---|
| Target location | California (operations in San Francisco and Seoul) | Pavia, Italy |
| Price in announcement | $335 million in cash | Not disclosed |
| Completion | 20 July 2021, per 10-Q | Described as acquired on 6 October 2026 |
| Stated focus | Fast-charging power ICs | Mixed-signal power management and audio ICs |
| Revenue expectation stated | About $60 million from close to the end of fiscal 2022 | Not material |
The comparison shows a scale difference in disclosure, not necessarily in deal size. An undisclosed price and a "not material" revenue statement suggest a smaller transaction than Lion, but the filing does not confirm that.
What's still unclear?
Several things are not in the public record as of 13 October 2026:
- Price and structure. No purchase price, cash-versus-stock split or earnout has been disclosed.
- Closing date. The release says the company has acquired INVENTVM but gives no date on which the transaction closed.
- Headcount and retention. Forsyth says Cirrus Logic looks forward to the INVENTVM team joining its engineering organization, but the release gives no number of people.
- Product plans. The release names no product, customer or roadmap. The 2021 founding story comes only from Semicone, which does not cite a source.
- Relationship before the deal. Both executives refer to years of collaboration, but neither describes it.
- Weakest point of the "growth" argument. The stated rationale is a pipeline of opportunities and new markets, without a figure, a customer or a timeline attached. Readers cannot test the claim until Cirrus Logic reports results that reflect the acquisition.
