CEO Succession 8-K: How to Tell a Planned Handoff From an Abrupt Exit
CEO succession 8-K planned vs abrupt: General Dynamics and Stryker set 1 January 2027 handoffs, while MongoDB and Bausch + Lomb CEOs left at once.
A planned CEO handoff and a sudden exit both land in the same place, Item 5.02 of Form 8-K, but the text reads differently. As of 15 October 2026, General Dynamics and Stryker have each filed an 8-K naming a successor CEO effective 1 January 2027. MongoDB and Bausch + Lomb filed 8-Ks in the past three weeks in which the CEO was gone within days and an interim CEO took over.
The signals are structural: a long lead time, a named permanent successor and a continuing role for the outgoing CEO point to a plan. An effective-immediately exit, an interim title and a separation agreement point the other way.
What does Item 5.02 of the 8-K cover?
Item 5.02 covers departures and appointments of directors and certain officers. Under paragraph (b), a filing is required when the principal executive officer, president, principal financial officer, principal accounting officer, principal operating officer or a person performing similar functions retires, resigns or is terminated. Paragraph (c) requires disclosure when the company appoints one of those officers, including the person's name, position, date of appointment, background and the material terms of any employment agreement.
Paragraph (a) is separate. It applies when a director resigns or declines to stand for re-election because of a disagreement, or is removed for cause. Paragraph (e) can add compensation disclosures: separation arrangements may require separate disclosure under Item 5.02(e), according to law firm Goodwin. For a step-by-step read of the item itself, see our guide to reading an 8-K Item 5.02.
What does a planned CEO handoff look like in an 8-K?
It looks dated, named and staged. Both General Dynamics and Stryker give a start date for the new CEO that is about twelve weeks after the filing, and both keep the outgoing CEO in a board role.
General Dynamics. The company's 8-K says that on 7 October 2026 it announced the board had elected Danny Deep as Chief Executive Officer, effective 1 January 2027. At that time Chairman and Chief Executive Officer Phebe N. Novakovic will transition to Executive Chairman. Deep, 56, has been President since December 2025 and joined the board on 5 August 2026. His earlier roles, per the filing, include Executive Vice President, Global Operations (June to December 2025) and Executive Vice President, Combat Systems (April 2024 to June 2025). The company's press release says Novakovic has been CEO since 2013. Virginia Business reported the same 1 January 2027 date.
Stryker. The company's 8-K says Kevin A. Lobo will resign as CEO on 31 December 2026 and become Executive Chair effective 1 January 2027. Spencer S. Stiles, President and Chief Operating Officer, is appointed CEO on the same date, and the board grows from 10 to 11 seats to add him. Stryker's press release calls the move part of "a planned succession process." MD+DI independently reported the 1 January 2027 date. For more on the Stryker deal terms, see our Stryker succession post.
Stryker had also pre-positioned its successor. It announced Stiles as President and Chief Operating Officer on 4 December 2025, about ten months before the CEO announcement.
What does an abrupt CEO exit look like in an 8-K?
It looks immediate and provisional. The CEO leaves within days of notice, the replacement carries an interim title, and the 8-K does not name a permanent successor.
MongoDB. The 8-K says CEO Chirantan ("CJ") Desai notified the company on 24 September 2026 of his intent to resign, effective 28 September 2026. The board appointed Dev Ittycheria as Interim President and Chief Executive Officer on 26 September, to serve until a successor is duly elected and qualified. Ittycheria, 59, was CEO from September 2014 to November 2025. In its press release, the company says Desai is leaving to pursue a senior role at Meta Platforms, that the board has started a search with an executive search firm, and that it reaffirmed its fiscal 2027 guidance.
Bausch + Lomb. The 8-K says CEO Brent Saunders and the board mutually agreed he would depart effective 12 October 2026, leaving the board as well. Chairman Thomas J. Appio became interim CEO the same day. Appio is also CEO of Bausch Health Companies Inc., the controlling shareholder. A separation agreement dated 11 October 2026, the day before the announcement, pays Saunders a lump sum of $75.5 million and cancels all of his outstanding equity awards, according to the filing. The Manila Times reported that shares fell more than 7 percent and that Citi analysts called the timing "sudden." Finimize separately reported the Citigroup comment.
How do the four filings compare side by side?
The table below applies the same checks to all four 8-Ks. Figures come from each company's filing, as of 15 October 2026.
| Check | General Dynamics | Stryker | MongoDB | Bausch + Lomb |
|---|---|---|---|---|
| Event date in filing | 7 Oct 2026 | 6 Oct 2026 | 24 Sep 2026 (notice) | 12 Oct 2026 |
| New CEO effective | 1 Jan 2027 | 1 Jan 2027 | 28 Sep 2026 | 12 Oct 2026 |
| Lead time | About 12 weeks | About 12 weeks | 4 days from notice | Same day |
| Successor | Danny Deep, permanent | Spencer S. Stiles, permanent | Dev Ittycheria, interim | Thomas J. Appio, interim |
| Successor's prior role | President since Dec 2025 | President and COO since Jan 2026 | Former CEO, current director | Chairman |
| Outgoing CEO's next role | Executive Chairman | Executive Chair | Leaving for a senior role at Meta Platforms (press release) | Leaves company and board |
| Agreement type | None described in Item 5.02 | Transition and letter agreements, both 5 Oct 2026 | No separation terms in the departure paragraph | Separation agreement, 11 Oct 2026 |
| Permanent search | Not needed | Not needed | Search firm retained (press release) | Not stated in 8-K |
The lead-time row is the plainest test. A planned handoff gives the market weeks of notice and often a fixed date at a year boundary. An abrupt one gives days or none.
Can the wording of the 8-K alone tell you which type it is?
No. Single words mislead. Stryker's planned-handoff 8-K says Lobo "will resign" as CEO, the same verb a sudden exit would use. Language saying the exit is not due to a disagreement appears in both the MongoDB and Bausch + Lomb filings, so it does not separate a quiet exit from a forced one.
Look instead at what the filing commits the company to. A named, permanent successor, a fixed future date and a continuing board role for the outgoing CEO are hard to arrange on short notice. A lump-sum payment and forfeited equity, as in the Bausch + Lomb filing, show a negotiated exit. In Stryker's case, the 8-K says Lobo's base salary and bonus target stay the same, with no new stock awards while he serves as Executive Chair. Stiles's base salary will rise to $1,320,000 on 1 January 2027, with a 150% bonus target.
How fast must the company file, and why does that matter?
A Form 8-K is generally due within four business days of the triggering event, according to Barnes & Thornburg. For an Item 5.02(b) departure, Goodwin says the deadline runs from notice of the resignation or termination, not the executive's last day. SEC staff guidance on a director's resignation, as published by PwC, says the obligation is triggered by notice of a decision to resign, whether or not the notice is written.
That timing shows up in the MongoDB filing. Its date of report is 24 September, the day Desai gave notice, while the press release is dated 28 September. The gap between the event date and the headline date is a clue: the filing clock started when the CEO gave notice, four days before the announcement.
Does the 8-K explain why the CEO is leaving?
Not necessarily. The SEC eliminated a proposed requirement to disclose the reasons for an officer's departure when it adopted Item 5.02, after commenters raised concerns about embarrassment and defamation risk. When a reason is given, as in MongoDB's case, it comes from the company's press release. MongoDB's release names a role at Meta Platforms. Bausch + Lomb's 8-K states mutual agreement and gives no reason.

What's still unclear?
Several limits apply to this method.
- The sample is four filings. These examples show a pattern, not a rule. A long lead time does not prove the process was smooth, and the filings do not show how much authority an executive chair keeps after 1 January 2027.
- Abrupt is not always bad. MongoDB's release attributes the exit to a new role at Meta and reaffirms guidance. That is the company's own account.
- Bausch + Lomb gave no reason. The 8-K says the exit was by mutual agreement and not due to a dispute. It does not say what prompted the change, and it does not state whether a permanent CEO search has begun.
- General Dynamics' Item 5.02 is short. It gives Deep's career history and the dates but no compensation terms, so the pay for the role is not described in this 8-K.
- MongoDB's departure terms. The departure paragraph of Item 5.02 states the notice date, the effective date and the no-disagreement language, but no separation terms for Desai.
- Secondary sources add colour, not proof. Analyst comments and share-price moves, as reported by the Manila Times and Finimize, are outlet reports, not company statements.
Frequently asked questions
Which 8-K item reports a CEO change?
Item 5.02, titled Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. Paragraph (b) covers a principal executive officer who retires, resigns or is terminated, and paragraph (c) covers the appointment of a new one.
How quickly must a company file an 8-K after a CEO leaves?
Generally within four business days of the triggering event. For an Item 5.02(b) departure, law firm guidance says the clock starts at notice of the decision to resign or terminate, not on the executive's last day. SEC staff guidance cited by PwC, which addresses a director's resignation, says the obligation is triggered by notice of a decision to resign, whether or not the notice is written.
Does an 8-K have to explain why a CEO is leaving?
No. When the SEC adopted Item 5.02 in 2004 it dropped a proposed requirement to disclose the reasons for an officer's departure, citing commenter concerns. Disagreements are treated differently: a director who resigns over a disagreement is reported under Item 5.02(a). The MongoDB and Bausch + Lomb filings both add language saying the exit was not due to a disagreement.
What does an interim CEO in an 8-K signal?
It signals that no permanent successor was ready when the filing was made. MongoDB's 8-K named an interim CEO to serve until a successor is elected and qualified, and its press release said a search firm had been retained. Bausch + Lomb's 8-K also named an interim CEO, its chairman, on the day the CEO left.
Are General Dynamics and Stryker the same kind of handoff?
Both name a successor CEO effective 1 January 2027 and keep the outgoing CEO as an executive chair. They differ in detail. Stryker's 8-K discloses the new CEO's pay and a transition agreement with the outgoing CEO, while General Dynamics' Item 5.02 text gives career details and refers to the press release.
